Chapter Four: The Creation and Removal of Organizational Structures and Persons in Charge
17. The association consists of member representatives to form a member congress.
The member representative assembly is the highest authority of the association and exercises its functions and powers in accordance with national laws, regulations and the bylaws of the association.
【If the number of members is less than 100, a general meeting shall be held. If the number of members is more than 100, representatives may be elected to form a member representative assembly. If a member representative assembly is convened, the qualifications and selection methods of member representatives shall be formulated by the council in accordance with the bylaws of association; generally, the number of member representatives shall not be less than 1/3 of all members.】
Member representatives are directly elected by the members. The term of each member representative is the same as the renewal time of the member representative assembly, which shall not exceed 4 years and can be re-elected.
18. The member representative assembly is the highest authority of the association and exercises the following functions and powers:
(1) Decide on the business scope and work functions of the association within the scope of laws and regulations;
(2) Election or removal of the chairman, vice-chairman, secretary-general (election system), directors, chairman of the board of supervisors, and supervisors (the election shall be conducted by secret ballot and differential election);
(3) Deliberating the annual work reports and annual financial budgets and final accounts of the board of directors and the board of supervisors (supervisors);
(4) To make resolutions on matters such as the change, dissolution and liquidation of the association;
(5) Change or revoke inappropriate decisions of the board of directors;
(6) To formulate or revise the bylawss of association (including the membership fee standard) and the election method of the organizational structure;
(7) Decide on termination matters;
(8) Decide on other major matters.
19. The member representative assembly is held every 4 years.
The member representative assembly shall be held at least once a year. The board of directors and the supervisory committee may hold an interim member representative assembly if deemed necessary or proposed by more than one-fifth of the members.
20. The member representative assembly must be attended by more than 2/3 of all member representatives. The formulation or revision of the bylaws of association shall be approved by two-thirds of the participating member representatives; other matters shall be approved by half of the participating member representatives.
The member representative assembly shall make meeting minutes for the decisions on the matters discussed, and announce to the members.
21. The association shall have a council. The council is the executive body of the member representative assembly. It is composed of the president, vice presidents and directors. When the member representative assembly is not in session, it performs its duties in accordance with the resolutions of the member representative assembly and the bylaws of the association. The number of directors shall not exceed 1/3 of the number of member representatives.
22. The council is the executive body of the member representative assembly. The council exercises the following powers:
(1) To prepare and convene the member representative assembly;
(2) Implement the resolutions of the member representative assembly and report to the member representative assembly;
(3) Decide on the specific work business of the association;
(4) To formulate the annual financial budget plan, final accounts, changes, dissolution and liquidation plans of the association;
(5) To formulate plans for increasing or reducing the registered capital of the association;
(6) Decide on the establishment of various internal organizations of the association, and lead the internal organizations of the association to carry out work;
(7) Decide on the membership of new applicants and the punishment of members;
(8) To appoint or dismiss the secretary-general of the appointment system, and decide the main persons in charge of the branches of the association; to appoint or dismiss the deputy secretary-general and the principals of the offices and representative offices of the association according to the nomination of the secretary-general, and to decide on their remuneration matters; dismiss the executive director;
(9) To formulate the internal management system of the association;
(10) Other matters stipulated in the bylaws of the association;
(11) Submit the draft amendments to the bylaws of association and the election plan of the council for discussion and voting at the member congress;
(12) Council members participate in various meetings and activities on behalf of the association.
23. The council shall hold a meeting at least once every six months (in special circumstances, it may also be held by means of communication). The board of directors can only be convened if more than two-thirds of the directors are present, and its resolutions must be passed by more than half of the directors present. The board of directors shall form meeting minutes for the resolutions and announce to all directors.
Council meetings are convened and presided over by the president, or may be convened and presided over by the vice president or the secretary-general entrusted by the president; when the president cannot perform his duties due to special reasons, the vice president shall convene and preside over the meeting.
More than 1/3 of the directors can propose to convene a council.
24. If the number of members of the board of directors is more than 50, executive directors may be elected from the directors according to needs, and a standing board of directors may be established. The executive board of directors is responsible to the board of directors. The executive council consists of the chairman, vice-chairmen and executive directors. 【The number of executive directors is one-third of the number of directors】. During the period when the council is not in session, the standing council can exercise the first, second, third, fourth, fifth, sixth, seventh and ninth stipulated in bylaws 21 of the bylaws of association with the authorization of the council.

25. The term of office of the chairman, vice-chairman and secretary general of the association is 4 years, and the chairman shall not be re-elected for more than two consecutive terms.
26 The chairman, vice-chairman, directors and supervisors of the association shall be elected by the member representative assembly by difference and meet the following conditions:
(1) Engaged in the business of the industry for more than two years;
(2) Familiar with industry conditions and possess corresponding professional knowledge;
(3) No bad personal credit record;
(4) He/she has full capacity for civil conduct, and the legal representative and secretary-general shall not exceed the age of 70;
(5) Other conditions stipulated by laws, regulations and articles of association.
Staff of state organs and persons who are not allowed to hold leadership positions in social organizations in accordance with relevant regulations are not allowed to serve in this association.
27. The association shall have one chairman and several vice-chairmen.
The chairman is the legal representative of the association, and the legal representative of the association may not concurrently serve as the legal representative of other social organizations.
28. The president of the association exercises the following powers:
(1) To convene and preside over the meeting of the council (or standing council);
(2) Check the implementation of the resolutions of the general assembly/member representative assembly, the council (or the standing council);
(3) Sign relevant important documents on behalf of the association;
(4) According to the industry development plan, formulate policy guidelines and performance goals during the term, fully understand the basic situation of the industry, and take promoting and publicizing the development of the industry as its own responsibility;
(5) Attend important events on behalf of the association, act as the person in charge of major projects on behalf of the association, establish an industry image, and create conditions for expanding the development of the industry;
(6) Supervise the work of the Secretariat.
29. The vice president and secretary general of the association work under the leadership of the president, and the secretary general is responsible to the council. The Secretary-General is full-time and exercises the following powers:
(1) Presiding over the daily work of the office and organizing the implementation of the annual work plan;
(2) Organizing the formulation and implementation of annual work plans, budgets and decisions;
(3) Coordinating the work of all branches, representative offices and entities;
(4) Nominate the deputy secretary-general and the principals of all offices, branches, representative offices and entities, and submit them to the council or the standing council for decision;
(5) The appointment or dismissal of full-time staff of the nomination office, representative office, or entity shall be reported to the board of directors or the executive board for approval;
(6) Handling other daily affairs;
(7) Submit periodic work summaries, plans and financial reports to the board of directors and the board of supervisors.
Attend council and executive council meetings.
30. The board of supervisors shall be established by the association, with three or more supervisors and one chairman of the board of supervisors. The board of supervisors is elected by the member representative assembly. The term of office of the board of supervisors (or supervisors) is the same as that of the board of directors, and can be re-elected upon expiration.
The chairman, vice-chairman, director and secretary-general shall not concurrently serve as supervisors.
31. The supervisory committee is the supervisory body of the association and is responsible to the member congress and exercises the following functions and powers:
(1) Report annual work to the member congress;
(2) Supervise the qualification confirmation procedures, election and dismissal of the members of the congress and the council; supervise the council to implement the resolutions of the congress;
(3) Check the financial and accounting materials of the association, and report the situation to the registration management authority and the taxation and accounting authorities;
(4) Supervisors attend the board of directors and the executive board of directors, confirm the legality and validity of the resolutions of the board of directors and the executive board of directors, and have the right to raise questions and suggestions to the board of directors and the executive board of directors;
(5) Dealing with internal conflicts in a fair and impartial manner in accordance with laws and regulations, having the right to propose a resolution to convene the board of directors and the executive board to coordinate relevant matters, and safeguard the rights of the parties to plead;
(6) To supervise the council's compliance with laws and procedures. When the business activities of the chairman, vice-chairman, directors and secretary-general damage the interests of the association, they are required to make corrections, and if the circumstances are serious, a suggestion for dismissal is proposed, and if necessary, it is reported to the general assembly or relevant government departments;
(7) Propose the convening of an interim member representative assembly; when the council fails to perform the duties of convening the member representative assembly stipulated in these regulations, convene the member representative assembly;
(8) To accept complaints from members on disciplinary measures, to review and supervise the procedures and content of disciplinary actions, and to have the right to suggest that the council make a new resolution or submit it to the member congress for voting when necessary. And submit the result of appeal handling to the registration management authority for the record;
(9) Other functions and powers stipulated in the articles of association.
Meetings of the supervisory board are held at least once every six months.
Supervisors shall abide by relevant laws and regulations and the articles of association of the association, accept the leadership of the member congress, and earnestly perform their duties.
32 The secretary-general of the association adopts the appointment system. The secretary-general is full-time and responsible to the council, and his work reports directly to the chairman.
